Mainland
Direct access to the local market with no restriction on trading with UAE clients. Full foreign ownership is now available on most activities. The trade-off is a registered lease and a standard corporate tax rate.

A holding or international structure rather than a trading licence — used to hold assets or shares, coordinate cross-border ownership, or hold IP, not to run UAE-facing operations.

Ownership restrictions requiring a local majority shareholder were largely removed in 2021. It’s one of the most-repeated pieces of outdated advice we still have to correct in the first conversation.
The licence fee is the smallest number in the exercise.
Most UAE setup firms compete on the price of the licence, because it is the one number a founder can compare. Having served more than 1,500 companies since 2018, these are the four decisions that most repay getting right at the outset — and all four are free to get right.
Choose the bank, then choose the zone
Banks maintain their own view of which free zones carry acceptable risk, and it does not always match the marketing. A licence issued in three days is worth most when the account opens behind it. We settle the banking route first and let it inform the zone.
Treat 0% as a status to maintain
Qualifying Free Zone Person status is not granted with the licence. It is a position a business qualifies for and then keeps satisfying — on substance, on qualifying income, on transfer pricing documentation. Set up deliberately, it holds year after year.
Match the entity to the market you will invoice
A free zone company reaches the UAE mainland through a distributor, a branch or a mainland entity. Knowing that before the licence is issued is what lets you sign a local contract and bill against it in the same month.
Build the cap table for the next round too
Documented contributions, deliberate holdings and a clear shareholder agreement take an afternoon at formation. They are what lets a structure pass investor diligence intact, without reopening the formation.

Limited Liability Company (LLC)
The default for a trading business with one or more shareholders, on mainland or in most free zones.

Sole establishment
A single-owner structure, generally used by individual professionals and consultants rather than trading businesses with staff.

Branch or representative office
An extension of an existing foreign or UAE parent company, used to operate locally without incorporating a new standalone entity.

The registration itself is usually the fastest part. Most of the real timeline is set by the decisions and paperwork around it.
Confirm the structure
Jurisdiction, ownership and licensed activity decided and documented before any application is filed.
Register and licence
Trade name reservation, licence application, and constitutional documents executed against the confirmed structure.
Secure premises
A registered lease for mainland, or a facility booking within the chosen free zone — arranged before it blocks the licence, not after.
Visas and banking
Establishment card and visa quota processed, with the banking application positioned in parallel rather than as an afterthought.

What are the different business structures available?
Most new companies form as an LLC. Individual consultants sometimes use a sole establishment, and an existing company entering the UAE may set up a branch instead of a new entity — see “Legal structures” above.
Is there a minimum capital requirement?
It depends on the activity and jurisdiction rather than being one fixed number across the board — we confirm the actual figure as part of the structure decision, not as a headline quote.
How long does formation take?
Once the structure is decided, registration itself is usually the fastest part of the process. The real timeline is set by document collection and bank onboarding, which is why we position banking early rather than after the licence issues.
What documents are typically needed?
Passport copies for all shareholders, a UAE entry stamp or visa if already resident, a trade name reservation, and constitutional documents such as the Memorandum of Association — the exact list depends on the structure chosen.
Can I set up a company in Dubai without visiting the UAE?
For most structures, yes — formation can be completed under a power of attorney. Residency and, in almost all cases, bank account opening still require you in person, so the trip is usually scheduled rather than avoided.
Can a foreigner own 100% of a company in Dubai?
Yes. Full foreign ownership is standard in the free zones and, since the 2021 amendments, available for most mainland commercial and industrial activities. A small list of strategic activities still requires Emirati participation.
Do I need a local sponsor or Emirati partner?
For most mainland activities, no — the 51% local shareholding requirement was removed for the great majority of activities. Some professional structures still use a local service agent, who holds no equity and no claim on profits.
Can the structure be changed later if the business grows?
Yes, but it is disruptive — changing jurisdiction or entity type usually means new banking, new contracts and sometimes a new licence. Better decided correctly at the outset than corrected under pressure.
